Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and EJR Agency LLC ("EJR Agency," "we," "us," or "our") governing your access to and use of the website located at www.ejragency.com (the "Site"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

These Terms govern your use of the Site only. Engagement of our security, investigation, and transport services ("Services") is governed by separate service agreements executed between EJR Agency and the client. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall control.

Description of Services

EJR Agency is a licensed security, investigation, and inmate transport company operating in the State of Texas and licensed by the Texas Department of Public Safety. Our Services include, but are not limited to, commercial security guard services, private investigations, fugitive recovery, inmate and prisoner transport, fire watch services, mobile patrol, event security, and executive protection.

The information provided on this Site is for general informational purposes only and does not constitute an offer to provide Services. All Services are subject to availability, licensing requirements, and the execution of a mutually agreed-upon service agreement.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that violates any applicable federal, state, or local law or regulation. You agree not to attempt to gain unauthorized access to any portion of the Site, any systems or networks connected to the Site, or any server, computer, or database. You agree not to use any automated system, including bots, spiders, scrapers, or similar technology, to access the Site for any purpose without our express written permission. You agree not to introduce any viruses, trojans, worms, or other malicious material to the Site.

Intellectual Property

The Site and its entire contents, features, and functionality (including all information, text, graphics, logos, images, and the design, selection, and arrangement thereof) are owned by EJR Agency, its licensors, or other providers of such material and are protected by United States copyright, trademark, patent, trade secret, and other intellectual property laws.

The EJR Agency name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EJR Agency or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EJR AGENCY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

EJR AGENCY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. EJR AGENCY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE CONTENT ON THE SITE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EJR AGENCY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF EJR AGENCY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF EJR AGENCY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION.

Indemnification

You agree to defend, indemnify, and hold harmless EJR Agency and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

Service Agreements

Engagement of EJR Agency's security, investigation, or transport Services requires a separate written service agreement. These Terms do not create any obligation on the part of EJR Agency to provide Services. All Services are provided subject to the terms and conditions set forth in the applicable service agreement, including provisions regarding scope of work, compensation, liability, indemnification, confidentiality, and termination.

Confidentiality

EJR Agency treats all client engagements as confidential. Information obtained during the course of our Services will not be disclosed to third parties except as required by law, authorized by the client, or necessary to fulfill our contractual obligations. Additional confidentiality terms may be established in individual service agreements.

Licensing and Compliance

EJR Agency is licensed by the Texas Department of Public Safety as required by the Texas Private Security Act and the Texas Private Investigators Act. Our personnel hold appropriate licenses and certifications as required by state and local law. We maintain commercial general liability insurance and comply with all applicable federal, state, and local laws and regulations governing our operations.

Third-Party Links

The Site may contain links to third-party websites or resources. These links are provided for your convenience only. EJR Agency has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Site shall first be submitted to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or litigation in the courts specified in the Governing Law section above.

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Waiver

No waiver by EJR Agency of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of EJR Agency to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Any changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.
